All offerings, products and services provided by Petroleum Analyzer Company, LP (“PAC”) to customers, dealers, original equipment manufacturers, end users or other purchasers (“Buyers”) are provided solely under the terms set forth herein. By ordering and accepting the delivery of PAC products and / or services, the buyer accepts and accepts these general conditions and accepts that, unless they are modified by a separate negotiated agreement as indicated below, these general conditions as well as the article, quantity, price and similar conditions set out in the offer, are confirmed in the order confirmation and/or in PAC`s invoice, constitute the entire agreement of the parties and supersede all other notices and documents. PAC hereby expressly disclaims any other additional conditions or requirements that are pre-printed or otherwise printed, including, but not limited to, government procurement regulations or contractual clauses of any kind, contained or referenced in an order or other documentation provided by Buyer, whether before or after delivery of the products or services, even if they are received by signature or is otherwise confirmed. Any changes to these Terms and Conditions will only be effective if set out in a separate negotiated agreement signed by an authorized official of the CCP. OFFERS AND PRICES: All prices are in U.S. dollars and, unless otherwise stated in a separate written agreement or offer, are subject to change at any time without notice. Unless otherwise stated, all offers are valid for thirty (30) days and may be modified or withdrawn at any time prior to acceptance. Quotes to non-U.S. citizen buyers are solicitations to make offers to buy. Spelling or spelling mistakes can be corrected.

The prices indicated and the dates of service/delivery apply only to the conditions and payment plans indicated. Prices do not include and Buyer assumes responsibility for payment of all applicable federal, state, local or foreign sales, use, occupancy, value creation, goods and services, excise duties, goods. Customs, visas, brokerage, stamp, document, permit, import/export or other taxes, duties, fees, duties, withholdings or other government fees of any kind related to the Services and/or parts that PAC provides to the Buyer. All amounts paid by PAC will be added to the corresponding invoice and paid by the Buyer, unless the Buyer provides a certificate of compensation acceptable to the competent tax authority. GOVERNING LAW: These Terms and Conditions and all transactions to which they may apply, including, but not limited to, disputes arising out of any supply or service provided by TransCore to Buyer, shall be governed by and construed in accordance with the laws of the State of Texas and the United States of America, without any conflict of law provisions, this would result in the application of the laws of another jurisdiction. unless the applicable law or constitutional provisions that restrict the choice of law applicable by a subdivision, body or political instrument expressly prohibit it. The United Nations Convention on Contracts for the International Sale of Goods and the Uniform Law on the Conclusion of Contracts for the International Sale of Goods do not apply to this Contract or to any agreement under this Agreement with respect to the supply of goods supplied under this Agreement, and all applicable international conventions on the discovery and delivery of processes shall not apply. SAFETY AND INSURANCE ON THE CONSTRUCTION SITE: The services and warranty work to be performed at the Buyer`s plant cannot be performed if PAC has reason to believe that the conditions in the Buyer`s facility present a risk to the safety or health of an employee or contractor of PAC, and that Buyer is responsible for taking all reasonable precautions to prevent bodily injury to PAC employees, representatives or contractors on Buyer`s premises. Buyer shall enter into and maintain one or more insurance policies that protect Buyer and PAC against any loss, liability or expense of any kind, including product liability, workers` compensation, personal injury, fire, theft, death, property damage or any other form arising out of or in connection with the Services.

The buyer must present PAC upon request for PAC certificates proving all these insurances. Initially, PACS offered the right to file joint income tax only after three years. Starting in 2005, all PACS couples will be required to file joint tax returns, as will married couples. .
